By participating in the Chutney Festival, a South Asian and West Indian Street Food Festival (“Event”), the Vendor agrees to the following terms and conditions:

Vendor Setup:

1. The Vendor shall arrive at the designated setup location at the Royal Oak Farmers Market (“Venue”) on the designated event date and time specified by the Event Producer, Shanti Agency (“Producer”).
2. The Vendor shall be responsible for setting up and dismantling their booth or stall, including any necessary equipment, signage, and displays.
3. The Vendor must ensure that their booth or stall adheres to all safety regulations, including fire safety and hygiene standards, as mandated by the local authorities.

Products and Services:

1. The Vendor shall offer South Asian and West Indian street food items only at their booth or stall.
2. The Vendor shall maintain the quality, freshness, and authenticity of their products throughout the Event.
3. The Vendor shall price their products in a fair and reasonable manner.

Compliance with Laws and Regulations:

1. The Vendor shall comply with all applicable laws, regulations, and health codes while participating in the Event.
2. The Vendor shall obtain all necessary permits, licenses, and approvals required to operate their booth or stall at the Event.

Hold Harmless and Indemnification:

1. The Vendor agrees to indemnify, defend, and hold harmless the Royal Oak Farmers Market, Chutney Festival, and the Event Producer, Shanti Agency, and their respective officers, directors, employees, agents, and volunteers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to any acts, omissions, or negligence of the Vendor, its employees, agents, contractors, or representatives, including but not limited to any personal injury, property damage, or infringement of intellectual property rights caused by the Vendor.
2. The Vendor acknowledges and agrees that the Vendor’s participation in the Event is at its own risk, and the Royal Oak Farmers Market, Chutney Festival, and the Event Producer, Shanti Agency shall not be liable for any damages, losses, or injuries incurred by the Vendor or its employees, agents, contractors, or representatives.

Insurance:

1. The Vendor shall maintain comprehensive general liability insurance, including product liability coverage, with limits and terms satisfactory to the Royal Oak Farmers Market, Chutney Festival, and the Event Producer, Shanti Agency.
2. The Vendor shall provide proof of insurance coverage to the Event Producer upon request.

Termination:

1. The Event Producer reserves the right to terminate the Vendor’s participation in the Event at any time, with or without cause, at their sole discretion.
2. In the event of termination, the Vendor shall immediately cease all operations and vacate the premises.

Miscellaneous:

1. This agreement represents the entire understanding between the Vendor and the Event Producer and supersedes any prior agreements or understandings, whether written or oral.
2. Any modifications or amendments to this agreement must be made in writing and signed by both parties.
3. This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Event is held.
4. If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
